1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and KeepFlow ("Company," "we," "us," or "our") concerning your access to and use of the KeepFlow website and cancellation flow service (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

KeepFlow provides a software-as-a-service platform that enables businesses to:

  • Display customizable cancellation flows to their customers
  • Collect feedback on why customers are canceling
  • Offer retention incentives (discounts, subscription pauses, plan downgrades)
  • Track and analyze retention metrics
  • Integrate with Stripe for subscription management

3. Account Registration

To use our Service, you must:

  • Create an account with a valid email address
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Stripe Integration

Our Service integrates with Stripe for payment processing and subscription management. By connecting your Stripe account:

  • You authorize us to access your Stripe account data as described in our Privacy Policy
  • You agree to Stripe's terms of service and connected account agreement
  • You are responsible for ensuring your Stripe account remains in good standing
  • You understand that retention actions (discounts, pauses) are applied directly to your Stripe subscriptions

5. Pricing and Payment

5.1 Subscription Plans

We offer the following subscription plans:

  • Starter ($29/month): Up to 100 cancellation sessions per month, "Powered by KeepFlow" branding
  • Growth ($49/month): Unlimited cancellation sessions, remove branding, priority support

5.2 Free Trial

We offer a 30-day free trial. After the trial period, your selected plan will automatically begin billing unless you cancel before the trial ends.

5.3 Billing

Subscription fees are billed monthly in advance. All fees are non-refundable except as expressly stated in these Terms or required by law.

5.4 Price Changes

We may change our prices with 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit malicious code or interfere with the Service
  • Attempt to gain unauthorized access to our systems
  • Collect data about other users without their consent
  • Use the Service for fraudulent or deceptive purposes
  • Resell or redistribute the Service without authorization
  • Use automated systems to access the Service beyond normal API usage

7. Intellectual Property

7.1 Our Property

The Service, including all content, features, and functionality, is owned by KeepFlow and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

7.2 Your Content

You retain ownership of any content you create using the Service (flow configurations, custom messaging, etc.). You grant us a license to use this content as necessary to provide the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

9. Indemnification

You agree to indemnify and hold harmless KeepFlow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

10.2 By Us

We may terminate or suspend your account immediately, without prior notice, if:

  • You breach these Terms
  • Your payment method fails repeatedly
  • We are required to do so by law
  • We discontinue the Service

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be deleted. You may request a data export before termination.

11. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part of it) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Dispute Resolution

Before filing a claim, you agree to first contact us at legal@keepflow.io to attempt to resolve the dispute informally. If the dispute cannot be resolved informally within 30 days, either party may proceed with formal dispute resolution.

For disputes under $10,000, either party may choose to resolve the dispute through binding non-appearance-based arbitration.

14. Changes to Terms

We may revise these Terms at any time by posting an updated version on our website. We will provide at least 30 days' notice of any material changes via email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KeepFlow regarding the use of the Service, superseding any prior agreements between you and us.
